Steven is a transactional and regulatory lawyer who focuses on helping take growing microcap companies to the next level. When companies are ready, he works closely with them and their investment bank as they navigate the registered offering and listing application process. Steven's work with maturing companies includes representing them in their private and public offerings to maximize the utility of the time that such companies spend on their existing marketplace.

Steven also works with companies on follow-on offerings and mergers and acquisitions and represents banks in their roles as underwriter and placement agent for companies listing or already on national exchanges.

Steven regularly advises issuers and their executives with respect to reporting and other obligations under the Exchange Act of 1934 and NASDAQ’s rules.
