Matt advises domestic and international clients on corporate governance and federal and state securities laws, including in connection with public and private securities offerings. His securities practice includes representing both issuers and underwriters in initial public offerings (IPOs), public and private follow-on offerings, establishing shelf registration statements and at-the-market (ATM) programs, private investments in public equity (PIPE) transactions, and tender and exchange offers, as well as representing public companies on ongoing corporate governance and SEC disclosure and reporting requirements. 

Prior to his corporate governance and securities law practice, Matt represented clients in commercial litigation matters in state and federal courts throughout Virginia, as well as in arbitration proceedings.

On a pro bono basis, Matt has provided estate planning advice to Veterans. 

  • Completion of a $7 million IPO for a China water filtration company on the Nasdaq Capital Market.
  • Completion of a $14 million IPO for a China eco-friendly construction materials company on the Nasdaq Capital Market.
  • Completion of a $9.6 million IPO for a China call center company on the Nasdaq Capital Market.
  • Representation of an underwriter in a $7.2 million IPO of a China company that provides Internet-based technology to investment companies on the Nasdaq Capital Market.
  • Representation of a renewable energy and sustainable solutions provider, in the company’s transition to the Cboe BZX Exchange (first U.S. Company to be listed on the Cboe BZX Exchange) and its underwritten public offering of common stock.
  • Representation of a Nasdaq-listed biopharmaceutical company in connection with registered direct offerings of common stock and warrants totaling approximately $25 million.
  • Representation of a Nasdaq-listed commercial property leasing company in connection with registered direct offerings of common stock and warrants totaling approximately $19 million.
  • Representation of a Nasdaq-listed REIT in multiple preferred stock offerings totaling approximately $90 million.
  • Representation of a Nasdaq-listed biopharmaceutical company in its $40 million “at-the-market” common stock offering program.
  • Representation of a Nasdaq-listed REIT in its $50 million “at-the-market” common stock offering program.
  • Successful defense of a proxy contest initiated by an activist investor against a Nasdaq-listed REIT. 
  • Representation of Nasdaq-listed company in an approximate $40 million tender offer
  • Representation of a furniture company in a $15 million private tender offer.
