Mr. Rapfogel is a corporate and securities attorney with expertise in transactional, securities and general corporate areas. His experience includes all types of business combinations including mergers, acquisitions and securities exchanges; asset purchases and sales; venture capital and other private equity and debt transactions; secured and unsecured loans; private placements and public offerings; corporate governance; board and shareholder meetings; equity incentive plans; SEC reporting and compliance; securities trading matters; opinion letters; and contracts and agreements.

  • Represents public and private companies in business combination transactions

  • Represented an investor group in the purchase of intellectual property from a bankrupt public company and the creation and operation of an LLC to own, maintain and exploit the intellectual property post-acquisition
